Universal Music Group (UMG) , the record label of artists such as Taylor Swift and Lady Gaga , has confidentially submitted documentation to the U.S. Securities and Exchange Commission (SEC) to list the company's shares in the United States .
The multinational record label, whose shares have been traded on the Amsterdam Stock Exchange since 2021, confidentially filed a draft registration statement on Form F-1 with the SEC regarding a proposed public offering in the United States of the company's common stock held by certain shareholders.
In this regard, UMG indicated that it " will not receive any proceeds from the sale of common shares by the selling stockholders," adding that the number of common shares to be offered and the price range of the proposed offering have not yet been determined.
In any event, the offering is subject to the completion of the SEC review process , as well as market and other conditions.
Last January, UMG announced that the Pershing Square fund, led by Bill Ackman , one of its largest shareholders, had exercised its right to request " a secondary offering and listing of UMG in the U.S. " and was committed to making "commercially reasonable" efforts to launch an offer for the sale of certain shares owned by Pershing before September 15, 2025.
